1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the PreFlight AI platform and website (collectively, the "Service"), operated by K.N.W. Business Advisors LLC ("Company," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

PreFlight AI is an AI-powered organizational readiness and governance diagnostic platform. The Service analyzes information provided by users — including uploaded documents and questionnaire responses — and generates scored reports assessing organizational readiness for AI implementation across multiple structural dimensions.

The Service is offered to businesses and professional consultants. It is not intended for personal, family, or household use.

3. Accounts and Access

To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You agree to notify us immediately at info@getpreflightai.com if you become aware of any unauthorized use.

We reserve the right to suspend or terminate accounts that violate these Terms or are used in a manner that harms the Service or other users.

4. Acceptable Use

You agree not to:

• Upload content that violates any law, regulation, or third-party rights
• Upload content covered by an NDA, HIPAA, attorney-client privilege, or any legal protection without authorization from the rights holder
• Attempt to reverse-engineer, scrape, or extract data from the Service
• Use the Service to develop a competing product
• Misrepresent your identity or organizational affiliation
• Interfere with or disrupt the integrity or performance of the Service

5. Upload Liability and Indemnification

Corporate clients using PreFlight AI are the Data Controllers with respect to any documents, files, or information they upload to the Service. K.N.W. Business Advisors LLC acts as a Data Processor on your behalf with respect to uploaded content, processing it only to generate your diagnostic report as described in our Privacy Policy.

You upload all third-party files, documents, and data at your own risk. You represent and warrant that:

• You have all necessary rights, licenses, and permissions to upload and process the content you submit
• The content does not violate any NDA, trade secret protection, HIPAA, GDPR, or other applicable legal obligation
• The content does not include personally identifiable information of any individual without their consent
• You have reviewed your upload against any applicable confidentiality obligations before submitting it

You agree to indemnify, defend, and hold harmless K.N.W. Business Advisors LLC, its members, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your upload of content to the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property, confidentiality, or privacy rights; or (d) any claim that content you uploaded caused damage to a third party.

We expressly disclaim any liability for the content you upload. The Service is designed to analyze organizational structure, not sensitive or protected information. Do not upload NDA-covered materials, HIPAA-protected health information, personally identifiable information of third parties, financial account records, or any data you are not authorized to share with an external service provider.

6. AI-Generated Content

The diagnostic reports and recommendations generated by PreFlight AI are produced by AI systems and are provided for informational purposes only. They do not constitute legal, financial, compliance, or professional advisory services. You should not rely on any report output as a substitute for qualified professional judgment. K.N.W. Business Advisors LLC is not liable for any decision made based on an AI-generated diagnostic report.

7. Intellectual Property

The PreFlight AI platform, brand, methodology, Structural Leadership Model, software, and all associated content are the intellectual property of K.N.W. Business Advisors LLC. Nothing in these Terms grants you any ownership interest in the Service or its underlying technology.

You retain ownership of any documents or content you upload. By uploading content, you grant us a limited, non-exclusive license to process that content solely to provide the Service to you.

8. Fees and Payment

Certain features of the Service may require payment. Pricing is described on our Pricing page. All fees are stated in US dollars and are non-refundable unless otherwise specified in a written agreement. We reserve the right to change pricing with reasonable notice.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. WE MAKE NO WARRANTY REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED REPORT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, K.N.W. BUSINESS ADVISORS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the state in which K.N.W. Business Advisors LLC is registered, without regard to conflict of law principles. Any dispute arising under these Terms shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the rules of the American Arbitration Association. Nothing in this section prevents either party from seeking injunctive relief in a court of competent jurisdiction.

12. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the Service after the effective date of updated Terms constitutes acceptance.
